Scope & Acceptance

These Terms of Use ("Terms") govern your access to and use of anchorblackbox.com and related subdomains, portals, dashboards, and any software, content, documentation, or professional materials we make available (collectively, the "Services"). By accessing or using the Services, you agree to these Terms.

No Legal Advice. Unless expressly stated in a written engagement letter signed by PrivacyStudios, Inc., content on our site(s) is for informational purposes only and does not constitute legal, tax, accounting, or other professional advice.

Changes to Terms & Services

We may modify these Terms at any time. Changes apply prospectively. Continued use of the Services after changes become effective constitutes acceptance. We may change, suspend, or discontinue any part of the Services at any time without liability.

Eligibility & Accounts

You are responsible for: (a) providing accurate registration information; (b) maintaining the confidentiality of your credentials; and (c) all activities under your account. Notify us promptly of any unauthorized use.

Pricing, Subscriptions & Trials

Fees, billing cycles, and plan features are described at purchase or in an order form/SOW. Subscriptions renew automatically unless cancelled. Fees are non-refundable except where required by law. Trials and beta features may be modified or revoked at any time.

Taxes. Fees exclude taxes, duties, and similar assessments. You are responsible for applicable taxes except those based on our net income.

Permitted Use & Prohibited Activities

You may use the Services only for lawful, authorized purposes. You agree not to:

  • Reverse engineer, decompile, or attempt to derive source code except as permitted by law.
  • Bypass or interfere with security or access controls, or test vulnerabilities without written consent.
  • Access or use the Services to build a competing product or benchmark without prior written consent.
  • Introduce malware, automated scraping, or high-frequency queries inconsistent with normal use.
  • Misrepresent your identity, affiliation, or purpose of use.
  • Upload or transmit unlawful, infringing, defamatory, or harmful content.
  • Use the Services in violation of applicable privacy, employment, consumer protection, export, or anti-corruption laws.

Intellectual Property

The intellectual property underlying the Services, including the patent portfolio, Anchor BlackBox™ trademark, source code, AI orchestration engine, prompt libraries, legal rule libraries, TrustLayers™ methodology, training and benchmark datasets, customer evaluation framework, domain names, brand assets, copyrights, and all related crown jewels, is owned exclusively by Anchor IP Holdings LLC, a Delaware limited liability company, and is licensed exclusively to Anchor BlackBox Inc., a Delaware C-Corp, which operates the Services. PrivacyStudios, Inc. acts as the consulting and deployment entity. All rights not expressly granted to you are reserved by Anchor IP Holdings LLC and its licensees. Unauthorized use, reproduction, or distribution of any portion of the Services or the intellectual property underlying them is prohibited.

License. Subject to these Terms and any order form/SOW, we grant you a limited, non-exclusive, non-transferable license to access and use the Services for your internal business purposes during the applicable term.

Feedback

If you provide suggestions, ideas, or feedback, you grant us a worldwide, perpetual, irrevocable, royalty-free license to use and exploit it without restriction, attribution, or compensation.

Third-Party Services & Links

The Services may integrate with or link to third-party products or platforms. We are not responsible for third-party materials, terms, or privacy practices. Your use of third-party services is at your own risk.

Privacy & Data

Your use of the Services is subject to our Privacy Policy. Where we process personal data as a processor on your behalf, additional data protection terms may apply via a Data Processing Addendum.

AI & Automated Tools. Where the Services incorporate AI or analytics, outputs may reflect model and data limitations. You remain responsible for human oversight, validation, and compliance when relying on outputs.

Disclaimers

THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE." TO THE MAXIMUM EXTENT PERMITTED BY LAW, WE DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICES WILL BE ERROR-FREE, UNINTERRUPTED, SECURE, OR ACCURATE.

Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, NEITHER PRIVACY STUDIOS, INC. NOR ITS AFFILIATES, LICENSORS, OR SUPPLIERS WILL BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR LOST PROFITS, REVENUE, DATA, GOODWILL, OR BUSINESS INTERRUPTION.

OUR TOTAL LIABILITY FOR ALL CLAIMS WILL NOT EXCEED THE AMOUNTS YOU PAID TO US DURING THE TWELVE (12) MONTHS PRECEDING THE EVENT GIVING RISE TO LIABILITY, OR US $100 IF YOU HAVE NOT PAID US.

Indemnification

You will defend, indemnify, and hold harmless Anchor BlackBox Inc. and its affiliates, officers, directors, employees, and agents from and against any claims, losses, liabilities, damages, costs, and expenses (including reasonable attorneys' fees) arising from: (a) your content or misuse of the Services; (b) your violation of these Terms; or (c) your violation of applicable law.

Suspension & Termination

We may suspend or terminate your access immediately if you have violated these Terms, pose a security risk, or if required by law. Upon termination, your right to use the Services ceases, but provisions that should survive (IP, disclaimers, limitations, indemnity, governing law) will survive.

Governing Law, Dispute Resolution & Arbitration

These Terms are governed by the laws of the State of California, without regard to conflict-of-law rules.

14.1 Mandatory Arbitration

Any dispute arising out of or relating to these Terms or the Services will be resolved by binding arbitration administered by the American Arbitration Association (AAA) under its Commercial Arbitration Rules, conducted in Los Angeles County, California, in English, by a single arbitrator.

14.2 Class Action Waiver

Disputes must be brought in an individual capacity, not as a plaintiff or class member in any class, collective, or representative action.

14.3 Opt-Out

You may opt out of arbitration within 30 days of first accepting these Terms by sending written notice to [email protected] with subject line "Arbitration Opt-Out."

Export, Sanctions & Anti-Corruption

You represent that you are not located in, under the control of, or a national/resident of any country or party subject to U.S., U.K., or E.U. sanctions. You will comply with all applicable export control, sanctions, and anti-bribery/anti-corruption laws (including the U.S. FCPA and U.K. Bribery Act).

Miscellaneous

  • Entire Agreement. These Terms and any applicable order form/SOW constitute the entire agreement and supersede prior communications.
  • Order of Precedence. If there is a conflict between these Terms and an order form/SOW, the order form/SOW controls.
  • Assignment. You may not assign these Terms without our prior written consent.
  • Severability. If any provision is held unenforceable, it will be modified to the minimum extent necessary and the remainder will remain in effect.
  • No Waiver. Failure to enforce a provision is not a waiver.
  • Force Majeure. We are not liable for delay or failure due to events beyond our reasonable control.
